These Terms & Conditions ("Terms") govern your access to and use of the MailFoundry website and outreach platform (the "Services"), operated by MailFoundry ("MailFoundry", "we", "us" or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility & accounts

You must be at least 16 years old and capable of forming a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorised use.

2. Acceptable use

You agree to use the Services only for lawful outreach and in compliance with all applicable anti-spam and data protection laws. You will not:

• send unsolicited bulk email in violation of applicable law, or message recipients who have opted out;
• send deceptive, fraudulent, harassing, hateful or otherwise unlawful content;
• upload contact data you do not have the lawful right to use;
• attempt to bypass sending limits, deliverability safeguards or security controls;
• reverse-engineer, resell or misuse the Services or our AI outputs.

You are solely responsible for the content of every email you send through the Services and for obtaining any required consents from your recipients.

3. AI-generated content

The Services use AI to generate suggested email copy, subject lines and related content. AI output may be inaccurate or imperfect. You are responsible for reviewing, editing and approving all content before it is sent. MailFoundry does not guarantee any particular open rate, reply rate, deliverability outcome or business result.

4. Subscriptions & billing

• Paid plans are billed in advance on a recurring basis (monthly or as otherwise stated) until cancelled.
• Fees are exclusive of applicable taxes, which you are responsible for.
• You may cancel at any time; cancellation takes effect at the end of the current billing period.
• Except where required by law, fees already paid are non-refundable.
• We may change pricing with reasonable advance notice.

5. Intellectual property

The Services, including all software, design, trademarks and content (excluding your data and content), are owned by MailFoundry and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Services in accordance with these Terms. You retain ownership of the content and data you provide, and grant us a licence to process it solely to operate and improve the Services.

6. Third-party services

The Services may integrate with third-party platforms (such as email providers). Your use of those platforms is governed by their own terms, and we are not responsible for their availability or conduct.

7. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or secure.

8. Limitation of liability

To the maximum extent permitted by law, MailFoundry and its team will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or related to your use of the Services. Our total aggregate liability for any claim will not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold MailFoundry harmless from any claims, damages, liabilities and expenses arising from your content, your use of the Services, or your violation of these Terms or applicable law.

10. Suspension & termination

We may suspend or terminate your access if you breach these Terms, create risk to the Services or other users, or for prolonged inactivity. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

11. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. The courts located in Uttar Pradesh, India shall have exclusive jurisdiction over any disputes, subject to any mandatory rights you may have under local law.

12. Changes to these Terms

We may modify these Terms from time to time. Material changes will be posted on this page with an updated date, and your continued use of the Services after changes take effect constitutes acceptance.
